Terms of Service for Up For Grabs

1. Introduction

Welcome to Up For Grabs (the "App"). By using our App, you agree to these Terms of Service ("Terms"). If you do not agree with these Terms, please do not use the App.

Up For Grabs connects food businesses with customers to rescue surplus food, reduce waste, and provide affordable meals. These Terms govern your use of the App and your relationship with us.

2. Acceptance of Terms

By accessing or using Up For Grabs, you confirm that:

  • You are at least 13 years old (or have parental consent)
  • You accept and will comply with these Terms
  • You have read and understood our Privacy Policy

3. Account Registration

For Customers

  • Provide accurate, complete information during registration
  • Keep your account credentials confidential
  • Notify us immediately if you suspect unauthorized account access
  • You are responsible for all activity on your account

For Restaurants

  • Provide valid business information during partner application
  • Maintain active food handling licenses and permits required by law
  • Comply with all local health and safety regulations
  • Accurately represent surprise bag listings (price, pickup window, and general description)

4. How Up For Grabs Works

For Customers

  1. Browse: View available surprise bags from partner restaurants near you
  2. Reserve: Select and reserve a bag through the App
  3. Pay: Complete payment via the App (or at pickup, if supported)
  4. Pick Up: Collect your surprise bag during the designated pickup window
  5. Review: Leave a review (optional)

For Restaurants

  1. List Bags: Create surprise bag listings using surplus food
  2. Set Pickup Windows: Define when customers can collect their bags
  3. Receive Reservations: Get notified when customers reserve bags
  4. Prepare Bags: Prepare bags before the pickup window
  5. Hand Off: Verify the customer's pickup code and hand over the bag

5. Customer Responsibilities

Reservations and Pickups

  • Pickup Windows: Arrive during the specified pickup time window. Late arrivals may result in forfeited reservations without refund.
  • No-Shows: Repeated no-shows (3+ missed pickups) may result in account suspension or termination.
  • Cancellations: Cancel reservations at least 2 hours before the pickup window to receive a refund. Late cancellations are non-refundable.
  • Verification: Present your pickup code (in the App) to the restaurant when collecting your bag.

Surprise Bags

  • Surprise Nature: Bags contain surplus food chosen by the restaurant. Specific items are not guaranteed.
  • Dietary Preferences: We cannot guarantee allergen-free items or suitability for specific diets.
  • Food Safety After Pickup: Consume food promptly and store it safely. We are not liable for illness caused by improper handling after pickup.
  • Inspection: If a bag appears unsafe at pickup, you may refuse it and report the issue in the App immediately.

Prohibited Conduct

You agree NOT to:

  • Resell or transfer surprise bags
  • Share your account with others
  • Abuse refund policies or make false claims
  • Post unlawful, offensive, defamatory, or misleading reviews
  • Harass restaurant staff or other users

6. Restaurant Responsibilities

Food Safety and Quality

  • Compliance: Follow all local health, safety, and food handling regulations
  • Quality Standards: Only include food that is safe and suitable for consumption
  • Accurate Listings: Avoid materially misleading descriptions of bags and pickup windows
  • Allergens: If asked, provide reasonable information about common allergens

Operations

  • Availability: Only list bags you can fulfill. Cancel listings if you cannot prepare them.
  • Pickup Windows: Be available during stated pickup times to hand over bags
  • Verification: Check customer pickup codes before handing over bags
  • Customer Service: Treat customers professionally and courteously

Prohibited Conduct

Restaurant partners agree NOT to:

  • Sell expired, spoiled, or unsafe food
  • Misrepresent bag contents in a way that is materially misleading
  • Discriminate against customers based on protected characteristics
  • Use the platform to promote unrelated services without our consent

7. Payments and Fees

For Customers

  • Prices are set by restaurants and displayed in the App before reservation
  • Payment may be completed in-app or at pickup, depending on what is available for that listing
  • All prices are in Lebanese Pounds (LBP) unless otherwise stated
  • You are responsible for any transaction fees charged by your payment provider

Payment Processing and Security

If you pay by card, your card details are processed securely by certified payment providers. We do not store raw card details such as full card numbers or security codes.

For Restaurants

  • Platform Fee: Up For Grabs charges a service fee per transaction, deducted from your payout
  • Payouts: Payout timing (weekly/monthly) is determined by your partner agreement
  • Pricing Control: You set your own prices for surprise bags

8. Refunds and Cancellations

Customer-Initiated Cancellations

  • Early Cancellation: Cancel at least 2 hours before pickup for a full refund
  • Late Cancellation: Cancellations within 2 hours of pickup are non-refundable
  • No-Show: Missed pickups are non-refundable

Restaurant-Initiated Cancellations

  • If a restaurant cancels your reservation, you will receive a full refund
  • Frequent cancellations by a restaurant may result in partner suspension

Quality and Safety Issues

  • If a surprise bag appears unsafe or is materially misrepresented, contact us within 24 hours for a refund review
  • Refund requests may require photo evidence and a clear description
  • Refund decisions are made on a case-by-case basis

9. User Content (Reviews and Photos)

  • You are responsible for the content you post (including photos and reviews)
  • You must not post content that is illegal, misleading, or violates another person’s rights
  • By submitting content, you grant Up For Grabs a non-exclusive license to display it in the App and use it for operating and improving the service (for example: showing reviews on listings)

10. Intellectual Property

  • The App, logo, and platform content are owned by Up For Grabs and protected by applicable laws
  • You may not copy, modify, distribute, or reverse-engineer the App without permission
  • Restaurant logos and names are used with permission and remain their property

11. App Monitoring and Service Improvement

To keep the App reliable and improve the experience, we may use analytics, diagnostics, and monitoring methods that can include session-based recordings of how the App is used (such as navigation, taps, and screen flows). We use this information for troubleshooting, product improvement, and quality assurance.

Sensitive fields such as passwords and card payment details are intended to be masked or excluded where applicable. Details are further described in our Privacy Policy.

12. Disclaimers

"As Is" Service

Up For Grabs is provided "as is" without warranties of any kind. We do not guarantee:

  • Uninterrupted or error-free operation of the App
  • Availability of specific restaurants or surprise bags
  • Quality, safety, or contents of surprise bags (this is the restaurant's responsibility)

Third-Party Responsibility

Restaurants are independent businesses. Up For Grabs is a platform that connects restaurants and customers. We are not responsible for:

  • Food safety, quality, or hygiene (this is the restaurant's legal responsibility)
  • Restaurant compliance with health regulations
  • Disputes between customers and restaurants
  • Injuries, illness, or damages resulting from food consumption

13. Limitation of Liability

To the maximum extent permitted by law:

  • Up For Grabs is not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid for the affected transaction (max $50 USD)
  • We are not liable for losses caused by restaurant misconduct, food safety issues, or third-party failures

14. Indemnification

You agree to indemnify and hold harmless Up For Grabs from:

  • Your violation of these Terms
  • Your misuse of the App or abuse of other users
  • Claims arising from user-generated content you submit (for example: unlawful or defamatory reviews)
  • For restaurants: claims arising from food safety violations or non-compliance with regulations

15. Account Termination

By You

  • You may delete your account anytime via Profile → Settings → Delete Account

By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Abuse the refund system
  • Harass other users or restaurant staff
  • For restaurants: violate food safety laws or materially misrepresent listings

16. Dispute Resolution

Internal Resolution

For disputes with restaurants or other users, please contact our support team first. We will attempt to help resolve the issue fairly.

Arbitration (If Required)

If informal resolution fails, disputes will be resolved through binding arbitration in Lebanon, under Lebanese law. You agree to:

  • Waive your right to a jury trial
  • Waive participation in class-action lawsuits
  • Resolve disputes individually

17. Governing Law

These Terms are governed by the laws of Lebanon. Any legal proceedings must be conducted in Lebanese courts.

18. Changes to Terms

We may update these Terms periodically. We will notify you of significant changes via:

  • In-app notification
  • Email to your registered address

Continued use of the App after changes constitutes acceptance. If you disagree, you must stop using the App.

20. Miscellaneous

  • Severability: If any provision of these Terms is found invalid, the remaining provisions remain in effect

  • Assignment: You may not transfer your account. We may assign these Terms to a successor entity
  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Up For Grabs

21. Acknowledgment

By using Up For Grabs, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
